Two contract versions (original/old and revised/new)

Gather the contracts to compare:

  • Original/old version
  • Revised/new version
  • Context: Is this a negotiation? Internal revision? Annual renewal?
  • Which party proposed the changes (if known)

Perform detailed comparison:

For each section of the contract, identify:

ADDITIONS

  • New text that didn't exist before
  • New clauses or provisions
  • Expanded language

DELETIONS

  • Text that was removed
  • Clauses that were deleted
  • Shortened provisions

MODIFICATIONS

  • Text that was changed
  • Original wording
  • New wording
  • Nature of change

Present changes in order they appear in the document.

Categorize and assess each change:

  • Section/clause location
  • Change type (add/delete/modify)
  • Materiality (High/Medium/Low)
  • Category (payment, liability, IP, etc.)
  • Brief commentary on implication

Provide a count summary at the end.

                    To run this task you must have the following required information:
